Agreement

Definitions

• “We,” “Our,” “Us,” and “Nexposai” refer to Immertia, the organization responsible for developing and offering Nexposai.
• “Pilot Period” represents the specified duration of the Pilot Program, of six months.
• “You” pertains to any individual or entity enrolled in this Pilot Program.
• “Software” denotes the Nexposai technology, made accessible to you as part of this Pilot Program.

Acknowledgement of Experimental Nature of Technology

Please note that the Nexposai technology is experimental and is still under testing. The Pilot Program is intended to evaluate the Software’s performance, identify issues, and gather user feedback for improvements. It is crucial to understand that the Software may have errors, limitations, or other inconsistencies.

Acceptance of Terms

By using the Software, you accept and agree to adhere to the conditions set forth in this Agreement. Should you disagree with any part of these terms, your sole remedy is to cease using the Software immediately.

Modification of Terms

We reserve the right to modify or amend this Agreement at any time. Continuation to use the Software after modifications signifies your agreement to be bound by the revised terms.

Financial Terms and Commitment

Cost of Participation: Participation in the Pilot Program will incur a monthly charge of $USD100.

Duration of Commitment: By enrolling in the Pilot Program, you agree to a minimum commitment of six months. Termination of the agreement before the end of the six-month period will not result in a refund for any previously paid fees.

Setup Fee: The setup fee is specified on the pricing page.

Billing Commencement and Software Readiness: Upon signing up for the Pilot Program, you will be billed immediately. It will take approximately four weeks from the date of sign-up for your product to be ready for use. Please note that you are liable for the monthly fee during this setup period.

Eligibility

Participation in the Pilot Program is by invitation only.

Features and Components

The Nexposai system has three key components

• Display Component: Showcases products in 3D and allows virtual augmented reality placement.
• AI System: An artificial intelligence assistant trained to answer product-related queries.
• Sales Facilitation: Enables customer-initiated notification to your sales teams.

License and Usage

You are granted a limited, non-exclusive, revocable license to use the Software during the Pilot Period. The Software must be used in compliance with all applicable laws and solely for its intended purposes.

Grant of Rights for Demonstration and Marketing Purposes

By participating in the Pilot Program, you hereby grant to us a non-exclusive, royalty-free, worldwide license to create, use, display, reproduce, and distribute media related to your product(s) for the purpose of demonstrating and promoting Nexposai technology, in marketing and sales materials, online media, print media, and Nexposai presentations.

You represent and warrant that you have all necessary rights to grant this license and that your participation in the Pilot Program and granting of this license does not infringe upon the rights of any third parties.

User Conduct

You shall not misuse the Software or use it in a way that could harm Us or third parties.

You shall not attempt to reverse engineer, disassemble, or otherwise attempt to derive the software’s source code.

Data Collection and Privacy

We may collect data from your interaction with the Software for analysis and improvements. Data collection is subject to our Privacy Policy.

Intellectual Property

All intellectual property rights related to the Software are the exclusive property of Nexposai.

Termination

We reserve the right to terminate your access to the Software without notice, particularly for violations of this Agreement.

Disclaimers and Limitation of Liability

The Software is provided “as is” and without any warranties, express or implied.

Nexposai shall not be liable for any losses or damages, direct or indirect, arising from your use of the Software. We expressly disclaim any liability for the accuracy, reliability, or completeness of the answers provided by the AI System component of the Software. You agree that any reliance on the information provided by the AI System is solely at your own risk.

Governing Law

This Agreement is governed by the laws of Victoria, Australia without regard to conflict of law principles.

By agreeing to participate in the Pilot Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement
